Counsel - Legal Department

1. Overview
- Purpose of the Role: Responsible for providing legal services (including legal advice and legal documentation) on low sophisticated matters to both Hanoi and Ho Chi Minh City Branches (the “Bank”) to ensure the Bank can operate in accordance with various legal parameters.
- Salary: Negotiable
- Candidate may independently work or co-work with one or more team members or in consultation with team lead or department head to complete the assigned tasks.
- Working location: Hanoi
2. Roles and Responsibilities:
- Draft/review legal documentation and prepare legal advice/opinion to support medium sophisticated deals.
- Provide training on local laws/regulations to Relationship Managers and staffs of other functional departments (by classroom training, legal bulletins, legal topics);
- Draft/review legal documentation and prepare legal advice/opinion to queries related to banking and non-banking such as IP, labor, competition, etc. Regarding banking queries, focusing areas of this Role includes loans, Accounts, Discounting, Term Deposit, Remittance, Letter of Commitment, consent letters, Power of Attorney, Non-Disclosure Agreement, Customer’s corporate approval for banking transactions, outsourcing. Other areas include but not limited to bank guarantees, standby letters of credit, factoring, trade finance agreements, security and collateral, money market agreements, foreign exchange agreements, letter of indemnity, confidentiality agreements, powers of attorney, outsourcing.
- Support the interpretation and application of changes in law and regulations to ensure legal compliance in the Bank.
- Provide input into legal dispute and litigation matters involving the Bank as well as provide legal support and advice for the resolution of and settlement of claims against the Bank.
- Support in developing and updating policies to ensure alignment with all relevant regulations.
- Maintain good working knowledge of industry trends, products, relevant laws and regulations.
- Contribute and support the implementation of regional/ local legal frameworks and templates
- Research and comments on draft laws.
3. Key Relationships (with whom & Purpose)
- External legal counsel: seek complex legal advice.
- Banking Working Group: Seek for discussion/raising common voice to the local authorities.
- Local authorities (e.g. State Bank of Vietnam, Ministry of Justice, Ministry of Planning and Investment, etc.): Seek for clarification/guidance.
- Arbitration centres/courts: Reference on settled precedent cases
