Mô tả công việc
Main purpose:
- Planning, participating in legal consultancy, support, organizing the implementation and supervising the implementation of professional works related to production and business activities of the Company;
- Planning, organizing the implementation and supervising the implementation of intellectual property management, regular activities and related investments of the Company;
- Organizing the implementation and supervising the implementation of other works related to the enforcement and compliance of laws or internal regulations in order to control and evaluate compliance in the implementation of laws and internal regulations; preventing risks, handling legal issues to ensure stability for production, business and investment activities of the Company.
Main Responsibilities:
- Orienting or participating in legal advice and support; organizing the review or supervising the compliance of Units/Departments in the following activities: labeling, standards and quality regulations, and product self-declaration; trade promotion activities; consumer interests, production and labor safety in accordance with laws;
- Annual planning for the Department, including operations, staffing and expenses;
- Planning, organizing the implementation and supervising the management of the intellectual property system, performing tasks related to the protection and establishment of intellectual property of the whole Company;
- Orienting the implementation and/or participating in consulting, drafting/reviewing, organizing the implementation and supervising the review, preparation, review and suggestions for drafting:
• Contract templates for important and regular operations of the Company, its subsidiaries and affiliated units;
• Contracts/agreements, memorandums of understanding and other documents implementing investment objectives (M&A; purchase and sale of shares and contributed capital,etc.), production and business of the Company with related parties at the request of the Board of Managers, Units, Departments and Divisions of the Company;
• Documents, dispatches, etc. related to legal, compliance in investment, production, business, trade promotion, marketing, communication, PR and other activities of the Company;
• Internal management documents (regulations, processes, regulations, work instructions, etc.);
- Orienting, planning the implementation and supervising the implementation of administrative procedures on business registration, investment, operation licenses and other legal papers of the Company, its subsidiaries and affiliated units;
- Organizing the management and control of the Company's authorization activities;
- Handling and/or coordinating with specialized lawyers (if necessary) to resolve legal problesms, legal disputes arising in the operation of Units, Departments, Divisions in the Company, its subsidiaries and affiliates;
- Organizing and assuming the prime responsibility for appraising approvals, proposing disciplinary decisions according to its competence to ensure that violations are handled properly and promptly in accordance with the provisions of law and internal regulations;
- Organizing the drafting and issuance of internal legal news to follow up the legal issue status and update key legal documents related to the Company's operations;
- Reports and other related work as assigned by the Executive Director
