Mô tả công việc
1. Corporate Governance & Corporate Secretary:
Support in developing and executing the Corporate Governance (CG) Agenda; details as follows:
- CG Compliance health check: Do annual CG compliance checklist and deploy the mitigation plan to ensure compliance;
- Prepare/ Draft/ Review corporate documents/agreements including but not limited to Owner's resolutions, MC resolutions, and InterCo contracts (Coop Agreement, EBA, secondment agreement,...)
- Develop and manage CG recording management facilities such as BOD Portal, CG library,...
- Develop and manage CG Compliance Guidelines such as CG framework, Seal management guidelines,... Provide the training to maintain a good compliance level.
- Provide Legal advice in relation to the above-mentioned matters
2. Advocacy
- Coordinate with CA, advocacy/ law firms, and other stakeholders to prepare/ draft/ review materials to implement the advocacy strategies.
- Coordinate for Legal Advocacy agenda such as Tax, EPR, and other regulations that may impact the company; details are as follows:
- Prepare/ Draft/ Review papers, documents, reports, etc., to execute strategies of any advocacy projects.
- Research, analyze, and evaluate issues related to Government action on advocacy projects
- Work with CA to develop communications plans for programs and campaigns, including working across teams to manage the rapid response to strategic communications.
- Monitor and prepare updates to the leadership team on the advocacy process.
- Engage with and manage contracts with vendors
3. Legal Compliance and Licensing:
3.1 Company Licenses compliance enhancement;
- Coordinate with the relevant stakeholders to conduct compliance health checks regarding Land Law and construction law. Advise and execute relevant mitigation and enhancement action plans.
- Advise and execute the licenses and relevant matters to enable the strategic and/or sustainability projects that may come from time to time, including but not limited to setting up new plant(s), new branch(es), and Biomass project(s).
3.2 Compliance for new Legal regulations (CO2 Emission, EPR,..);
- Communication and training in this regard.
- Develop a legal compliance agenda for new regulations
- Implement and follow up with PIC to ensure all the requirements can be completely satisfied.
3.3 Legal support for Customs, Insurance, Audit and Tax-related matters"
4. Legal Operation:
- Facilitate the implementation of Legal automation and simplification agenda: Follow up with relevant PIC from Legal and IT to ensure that all the categories aligned in this agenda shall be executed on time in full.
- Legal Service enhancement agenda: Deploy annual Legal Survey on internal stakeholders
- Develop Legal Technology and automation Agenda.
- Coordinate for Legal Technology, Automation Agenda, and Simplification, details as follows:
- satisfaction and coordinate for enhancement plan.
5. Other:
- Involve in discussions with related governments and nurture relationships with authorities and government agencies.
- Do research & provide guidance/Updates on changes in local laws and implications
- Support LM in preparing and providing training/presentations to other business teams/committees related to assigned jobs.
- Develop and manage Guidelines, review contracts, and do all necessary administrative work (PR, PO, Contract, payment process, ...) to facilitate the above scopes.
- Do functional work to maintain the development of the Legal Department, such as Round table discussions, implementation of the Legal competence program, and OHS activities…
- Other job as assigned by line manager and Head of Legal
