Mô tả công việc

A. PURPOSE OF POSITION
Highly qualified Legal Counsel to oversee the legal aspects of our business in
Vietnam, SEA. The position will help in protecting our reputation by guaranteeing
that the company strictly follows legal guidelines and gives legal advice to the
management about all relevant issues. The successful candidate will effectively
ensure legal conformity and minimize probability of exposure.
C. KEY ACCOUNTABILITIES
• Ensuring all contracts, agreements, transactions and activities are consistent with
Vietnamese laws and relevant applicable regulation and company policies.
• Draft and solidify agreements, contracts and other legal documents to ensure the
company’s full legal rights.
• Drives contract lifecycle from drafting through completion of the negotiation process,
and/or contract execution. Manages contract change control process and related
correspondence requiring legal input. Monitor Contract Management System.
• Developing formats /templates for various types of Agreement.
• Give accurate and timely counsel to executives on a variety of legal topics (labor law,
partnerships, international ventures, corporate finance etc.).
• Collaborate with management to devise efficient defense strategies.
• Collaborate with Compliance PIC to specify internal governance policies and regularly
monitor compliances including Compliance Code of Conduct.
• Apply effective risk management techniques and offer proactive advise on possible
legal issues.
• Communicate and negotiate with external parties (regulators, external counsel, public
authority etc.), creating relations of trust.
• Deal with complex matters with multiple stakeholders and forces within Vietnam and
SEA.
• Provide clarification on legal language or specifications to everyone in the organization.
• Maintain current knowledge of alterations in legislation.
• Implement and maintain an effective compliance framework.
• Develop compliance culture and drive ethical behavior at the site.
• Carry out monitoring activities, use tools & systems of the company as required (MICS,
BrewRight..), support site audits, assurance reporting etc.
• Conduct regular trainings for employees.
• Manage local/area oversight of all aspects of governance.
• Responsible for legal budget and follow company policy on ZBB target.
